QuoteMaven — Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Ben Tharpe (sole proprietor, doing business as "QuoteMaven") ("QuoteMaven," "we," "us") governing your use of the QuoteMaven mobile app and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. QuoteMaven is intended for business use by contractors and tradespeople.

2. What QuoteMaven is — and is not

QuoteMaven is a tool that helps contractors create, send, and manage quotes and invoices, collect electronic signatures, and accept card payments through their own payment account.

QuoteMaven is not a party to any agreement between a contractor and their customer. We do not perform the work, do not set prices, do not guarantee any job, and are not responsible for the quality, legality, safety, or completion of any work quoted or invoiced through the Service. Any dispute about the work, the amount, the contract terms, or a payment is solely between the contractor and their customer. You are responsible for the accuracy and legality of everything you create and send with the Service.

3. Accounts

You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us of any unauthorized use. One account per contractor/business unless we agree otherwise.

4. Subscriptions, billing, trials, and cancellation

QuoteMaven offers a free tier (Bronze) and paid subscription tiers (Silver, Gold) with monthly and annual options. Current features and prices are shown in the app.

• Billing is handled through Google Play Billing. By subscribing, you also agree to Google Play's terms. Charges, taxes, renewals, and payment methods are managed by Google Play.
• Free trial: we may offer a free trial of a paid tier (e.g., one month of Gold). Unless you cancel before the trial ends, it converts to a paid subscription at the then-current price. One trial per Google account.
• Auto-renewal: paid subscriptions renew automatically for the same period until cancelled.
• Cancellation: cancel anytime through your Google Play account. Cancellation stops future renewals; you keep paid features until the end of the current billing period, then move to the free tier.
• Refunds are handled according to Google Play's refund policies. Except where required by law, payments are non-refundable for partial periods.
• Price and plan changes: we may change features or prices. Material changes to your paid plan will be communicated as required by Google Play and applicable law and will not apply retroactively to a period you've already paid for.
• Downgrades: if you move to a lower tier, your existing data remains available; features and usage limits of the lower tier will apply going forward.

5. Customer payments (Stripe)

Contractors may connect their own Stripe account to accept card payments from their customers. For those payments:

• Stripe processes the payment and settles funds to the contractor's account. QuoteMaven is not the merchant of record and does not take, hold, or route the contractor's customer funds.
• The contractor is responsible for their Stripe account, for compliance with Stripe's terms and applicable law, for any refunds or chargebacks, and for all taxes on their sales.
• An optional card-processing fee, if enabled and disclosed by the contractor, is set by the contractor, not by QuoteMaven.

6. Electronic signatures

The Service lets a customer sign a document electronically. Electronic signatures are intended to be legally effective under the U.S. E-SIGN Act and applicable state UETA laws. However, you are responsible for your own contracts and for ensuring a signature is valid and enforceable for your purpose. QuoteMaven does not provide legal advice and does not guarantee the enforceability of any signed document.

7. AI quantity calculator

The Service includes an optional AI feature that reads dimensions from a line item and suggests a quantity. It is an aid, not a substitute for your judgment. It may be wrong. You are responsible for reviewing and confirming every quantity, price, and total before sending a quote or charging a customer. QuoteMaven is not liable for errors resulting from reliance on the AI suggestion.

8. Your content

You retain ownership of the content you create (quotes, invoices, customer information, photos, notes). You grant QuoteMaven a limited license to host, process, and transmit that content solely to provide and improve the Service. You represent that you have the right to enter the customer information you provide and to use it as described in our Privacy Policy.

9. Acceptable use

Do not use the Service to break the law, infringe others' rights, send spam or deceptive documents, upload malware, attempt to breach security or access another account's data, scrape or reverse-engineer the Service, or resell it without permission. We may suspend or terminate accounts that violate these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NEVER BE LOST.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUOTEMAVEN AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100.

12. Indemnification

You agree to indemnify and hold QuoteMaven harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your contracts or work, your customer relationships, or your violation of these Terms or the law.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination (e.g., ownership, disclaimers, liability limits, indemnification) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of- law rules. Exclusive venue for any dispute arising out of or relating to these Terms or the Service lies in the state or federal courts located in El Paso County, Colorado, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms. If we make material changes, we'll update the "Last updated" date and, where appropriate, notify you in the app. Continued use after changes take effect means you accept the updated Terms.
